Dropshipping Agreement Contract

This Drop Shipping Agreement provides a framework for the sale of supplier's products to the Vendor's customers through various means. For example, through a Shopify online webshop or an e-commerce WordPress website using Woocommerce but also through your eBay or Amazon account.

This contract is drafted in favor of the Vendor. The Vendor desires to sell and promote the products offered by the Supplier through various online and offline channels and agrees to give sales and/or orders relating to the Products (as defined below) to the Supplier according to the terms and conditions outlined in this Example Dropshipping Agreement.

The terms and conditions set in this contract shall apply to all orders in response to which the supplier provides the products directly to the vendor’s customers (reseller).

This document should be carefully read by both supplier and the vendor. Both parties should agree, sign, and return a copy. We strongly advise having a lawyer specializing in international business, validate the agreement before signing. International and national laws do tend to change. Also depending on the vertical, you are operating you might need to make specific adjustments to be compliant. It is also important to always do a business background investigation/audit. Often the Chamber of Commerce will be able to support or just check in with your local accountant that might have overseas connections to help you with this.
